Can a shareholder be a company director?


Hello, all! I am getting ready to form a new software company based in Manchester. I’ve got everything at hand with me here to form a limited by shares company online, and I was planning on being the company’s sole director. But I will obviously be a shareholder, too, and so I was curious: is it possible for me to be both a company director and a shareholder at the same time? Thanks.



Yes, you can be the sole shareholder and sole director of a private limited company, as long as you are not:

  1. Under the age of 16
  2. An undischarged bankrupt
  3. A disqualified director

Even if you set up a company on your own, you will still have the option to appoint other directors and/or shareholders in the future.
