Can the secretary of a limited company also be a company director?



We’re wanting to appoint our current company secretary to become a director. Is it okay for a secretary to serve simultaneously as a director? Or must he first resign and we must appoint a new secretary?

A company secretary can also be a director of the same company, that is completely fine and very common.

To appoint someone as a director, regardless of whether they are also the company secretary, you must complete form AP03 and send it to Companies House by post or via WebFiling within 14 days of the appointment. You can also notify Companies House of any new appointment through a company formation agent.

Please also remember to update your register of directors with details of the new appointment.
