How do I register a holding company online?

I would like to form a new company, but use it as a holding company. Could you please tell me whether it is possible to register a company as a holding company online, or do I have to do this by post?

To register a holding company, you just need to register a company limited by shares with Companies House with a minimum of one director, one shareholder and one issued share.

The incorporation process and requirements are the same as if you were registering a private limited company for any other purpose; however, for a company to be legally recognised as a holding (parent) company of another company (a subsidiary), the holding company must satisfy at least one of the following requirements:

  • Be a member (shareholder) of the subsidiary and have the right to appoint or remove a majority of its board of directors.
  • Hold a majority of the voting rights in the subsidiary.
  • Be a member of the subsidiary and control alone, pursuant to an agreement with other members, a majority of the voting rights in the subsidiary.
