Can I transfer a limited company name to someone else?

I am the sole owner of a dormant limited company, and I would like to transfer the name of my company to an old colleague who would make better use of it. Is that possible to achieve, or must I first shut down my company to free the name up?

If you want to keep your company active but let someone else use your current company name, all you have to do is change your company name online and pay £8 to Companies House - your previous company name will then be available for the other person to register.

However, if you want to transfer your entire company and the name to someone else, you must appoint the other person as a director of the company and transfer your shares to them. When you have done this, you can remove yourself as the director and shareholder. If your company is dormant, this won’t really be an issue.

  • To appoint a new director:
    • Complete form AP01 and send it to Companies House online or by post.
    • Update your company’s statutory register of directors - add the new director’s details and date of appointment.
  • To transfer your share(s) and add the new shareholder:
    • Complete a stock transfer form to officially transfer ownership of your share(s).
    • Submit an annual return to Companies House to update shareholder details.
    • Provide a share certificate to the new shareholder.
    • Update your company's statutory register of members - add the new shareholder’s details and record the transfer date as the date you ceased being a shareholder.
  • To remove yourself as a director:
    • Complete form TM01 and send it to Companies House online or by post.
    • Update your company’s statutory register of directors with your termination date.

If you have any accounts or credit in your company name, you should make the new owner aware of this prior to transferring ownership of the company. You must also fulfil any outstanding filing or reporting obligations if your company was trading prior to the transfer.
