Do dormant companies have shareholders?


Hello, just setting up a dormant company and I came upon a question I couldn’t answer. Normal limited companies have got shareholders that own the company, right? Well, what about dormant companies? Do they have shareholders, too?



Yes, they do - dormant companies that are limited by shares must have at least one shareholder who owns at least one share in the company. A dormant company exists just like any other limited company that has been incorporated at Companies House, but it is registered with HMRC as having a dormant (inactive) trading status, as opposed to an ‘active’ trading status. This means that the company does not presently carry on any kind of business.
