Can my company be dissolved without my permission?


I am one of two directors and eight shareholders at an SME based in Newcastle. We are a limited company. All of the shareholders and my fellow director would like to shut the company down and dissolve it, but I am completely against it. Could they do it without my permission, or will I be okay?



Yes, your company can be dissolved without your permission if a majority of the directors and/or shareholders agree to its closure, or the company is forced into compulsory liquidation.

Depending on the way the company is being dissolved, you may be able to object to its closure but there is no guarantee that you will be successful.
