What are the articles of association?


I’d like to register a company because I’m planning to start an online business selling handmade bags.

When I look up company formation on the internet, all of the sites mention something called articles of association, but I can’t really get to grips with the explanations I’ve read. What are they? Do I get them from Companies House, or do I have to write them myself, or do I need a lawyer for this?



The articles of association is a legal document that all limited companies must adopt at the time of their incorporation at Companies House. It sets out the rules and procedures for running the company and making decisions. The articles must be followed by the directors and members at all times.

The majority of small companies with ordinary shares adopt the standard Model articles from Companies House, but some companies have to create their own articles to better address the needs of the business.
