Can anyone be a nominee officer?


Good morning, I was just wondering something: do you know whether there are rules regarding who can and cannot be a nominee officer?



Nominee officers are subject to the same restrictions as all company directors and secretaries:

  • Must be at least 16 years old.
  • Must not be an undischarged bankrupt.
  • Must not be a disqualified director.
  • The company auditor cannot be appointed as a nominee secretary (or the real secretary).
  • A corporate nominee cannot be appointed as the sole director of a company.

Other than that, almost any person or company can act as a nominee officer on behalf of someone else.
