Can my company be composed of entirely nominee officers?


Hey there - I’m a content writer from Glasgow, and I am going to start a media company here. I have got a few interested parties who would like to have a frontline role in this company, but due to the nature of our business, we would like to use nominee officers for the registration process. Is that okay for every officer in the company to be nominees? Many thanks



Yes, your company appointments can all be nominees, provided at least one of the nominee directors is a natural person. The Companies Act requires all limited companies to have at least one human director at all times, so you cannot create a board of directors that consists only of corporate nominees.

There is no such restriction for shareholders, so you can appoint corporate nominees for all of the beneficial owners of your company.
