What documents must I keep at my SAIL address?

So, I have registered a SAIL address to keep my company documents at. I’ve gotten that far on my own. Now, I need your help: exactly which documents am I supposed to keep at my shiny new SAIL address?

Hi Pat,

The required statutory records vary from company to company but they include, where applicable:

  • Register of directors
  • Register of members
  • Register of secretaries
  • Directors' service contracts
  • Directors' indemnities
  • Records of resolutions and minutes of general meetings
  • Contracts or memoranda relating to purchase of own shares
  • Register of transfers
  • Register of sealings or executions
  • Documents relating to redemption or purchase of own shares out of capital by a private company
  • Register of debenture holders
  • Register of mortgages and charges and the instruments creating those charges.

You can keep all of your statutory company records at a SAIL address or your registered office, or can you split the records between the SAIL and registered office. What you cannot do it keep the same record at both addresses.
