Can I change my company name after registering with Companies House?

Hi guys

My company began trading last year under one name, but we’ve decided we would like to completely overhaul our brand. As part of that, we would like to change our company name. Will we be allowed to change our name, even though our company has already been incorporated? We have been trading for about two years, if that matters.

Yes, you can change the name of your limited company whenever you want, but it will have be approved by either a majority of the shareholders or directors, depending on the provisions in your articles of association. You will then have to apply to Companies House to change the name before you can start using it.

If you require shareholder approval, a special resolution must be passed. This requires a 75% majority of votes to be cast in favour of the change, either at a general meeting or in writing. When approval has been sought, you should complete form NM01 and file it with Companies House within 15 days with copy of the resolution. The appropriate fee should also be included.

Some articles permit directors to change the name of a company. In such cases, a majority of the directors must vote in favour of the name change. Form NM04 should be completed and delivered to Companies House with the appropriate fee.

It costs £8 to change a company name online via WebFiling or through your company formation agent’s efiling service. Normally, name changes are approved within a few hours and you can start using the name as soon as you receive the certificate of name change from Companies House.

It costs £10 to change a company name by post. Naturally, this method takes longer to process so you will have to wait a few days until your change of name is accepted. For this reason, we recommend changing your company name online.
